Service Level Agreement Policy

This Service Level Agreement (SLA) Policy Statement outlines the specific service availability commitment for the Check Point Cloud Firewall as a Service

product ("the Service"), the calculation methodology, and the exclusive remedy for failure to meet the commitment.

1. Definitions

1.1 Monthly Uptime Percentage

The "Monthly Uptime Percentage" is calculated by subtracting from 100% the percentage of total minutes during a calendar month in which the Service was in a state of Service Unavailability (as defined below).

Monthly Uptime Percentage = (Total Minutes in Month - Unavailable Minutes) / (Total Minutes in Month) X 100

1.2 Service Unavailability

"Service Unavailability" means the core functionality of the Service (i.e., the ability to receive and process inbound traffic and apply Firewall rules) is non-operational and demonstrably inaccessible to the Customer's designated traffic endpoints. A minute is deemed unavailable if all continuous attempts by the Customer to establish a connection to or route traffic through the Service fail during that minute.

Crucially, the determination of Service Unavailability, including the start time, duration, and minutes of downtime, shall be made solely by Check Point, based on its internal monitoring systems and Root Cause Analysis (RCA) findings.

1.3 Service Credits

"Service Credits" are credits that Check Point may apply to future monthly invoices for the Service. Service Credits are the sole and exclusive remedy for any failure to meet the Service Availability Commitment.

2. Service Availability Commitment

Check Point commits to providing a Monthly Uptime Percentage for the Service of 99.99% during any given calendar month.

This 99.99% Service Availability Commitment shall only apply to those Customers explicitly identified by name in a mutually executed Master Service Agreement, Order Form, or separate addendum specifically granting this commitment.

3. Exclusions from Service Unavailability

The following are excluded from the calculation of Service Unavailability minutes and shall not be counted towards the Monthly Uptime Percentage calculation:

1. Downtime resulting from Scheduled Maintenance announced to the Customer at least 48 hours in advance.

2. Downtime caused by factors outside of Check Point's reasonable control, including any Force Majeure event (e.g., natural disasters, acts of war or terrorism, government actions, or large-scale internet or network outages outside of Check Point's network).

3. Downtime resulting from Customer's acts or omissions, including but not limited to: improper configuration, misuse of the Service, network or hardware failures on the Customer's side, or exceeding the capacity limits defined in the Customer’s subscription.

4. Downtime related to third-party services, hardware, or software not managed by Check Point.

5. Suspension or termination of the Service in accordance with the terms of the main agreement.

4. Service Credit Remedy (Sole and Exclusive)

4.1 Service Credit Schedule

If the Monthly Uptime Percentage for a Customer to whom this Commitment applies falls below 99.99% in any calendar month, the Customer will be entitled to Service Credits calculated as a percentage of the Customer's monthly usage fees for the Service, according to the schedule below.

Less than 99.9% but greater than or equal to 99.0% 10% of monthly usage fees

Less than 99.0% but greater than or equal to 95.0% 25% of monthly usage fees

Less than 95.0% 50% of monthly usage fees

4.2 Sole and Exclusive Remedy

The Service Credits provided under this Section 4 constitute the Customer's sole and exclusive remedy for any Service Unavailability, failure to meet the Service Availability Commitment, or any other non-performance by Check Point.

4.3 No Refunds or Cancellation

Under no circumstances shall the failure to meet the Service Availability Commitment entitle the Customer to a cash refund or any other form of payment. Furthermore, a failure to meet the Service Availability Commitment shall not entitle the Customer to terminate or cancel the underlying Service agreement, particularly in cases where the Service is part of a bundled product offering.

5. Credit Claim Procedure

5.1 Claim Submission

To receive a Service Credit, the eligible Customer must submit a formal written claim to Check Point within thirty (30) days of the end of the month in which the claimed Service Unavailability occurred.

5.2 Claim Validation

The claim must include the dates and times of the alleged Service Unavailability. Check Point will validate the claim solely based on the outcome of its own internal records and the Root Cause Analysis (RCA) confirming that the failure was due to Check Point's internal systems and not an Exclusion (Section 3).
